Terms of Use
1. Acceptance of Terms
These Terms of Use (the "Terms" or "Agreement") govern your access to and use of the GenetiQ mobile application and related services (collectively the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
We may revise these Terms at any time by posting updated versions. Material changes will be notified to registered users and, where required by applicable law, will require your renewed consent before taking effect.
2. Who You Are
"You" means the individual or legal entity using the Services. Unless otherwise expressly permitted under Section 5 of these Terms, the Services are intended for individuals who are at least eighteen (18) years of age and capable of entering into legally binding agreements. Individuals under the age of eighteen (18) may only access or use the Services in accordance with the requirements set out in Section 5.
If you use the Services on behalf of an organization (for example, a clinic, hospital, laboratory, employer, insurer, or other entity), you confirm that you have the authority to bind that organization to these Terms.
3. Privacy and Data
Your use of the Services is governed by our Privacy Policy , which is incorporated into these Terms by reference. The following is a summary only; the Privacy Policy governs in the event of any inconsistency.
- You own any personal or health data you upload to GenetiQ (including genomic data, laboratory results, and medical records).
- We process your data only as you instruct and as described in the Privacy Policy, applying purpose limitation and access controls.
- GenetiQ applies strong security controls, including encryption at rest and in transit, access controls, audit logging, and other security measures designed to protect personal data and health information.
- Certain features of the Services may require health data to be processed in decrypted form within controlled and authorized environments, such as healthcare-provider systems, artificial-intelligence processing services, trusted execution environments, or other approved processing contexts. Our Privacy Policy describes these processing activities in greater detail.
- You may delete your data and account at any time. See our Privacy Policy for details of your data rights and our retention obligations.
- Account deletion is available from within the application under Settings → Account → Delete Account.
4. Account Registration
To use the Services, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Keeping your login credentials secure and confidential.
- Notifying us immediately at security@genetiq.ai if you believe your account has been compromised, if you become aware of unauthorized access to or use of your account, or if you discover a potential security vulnerability affecting the Services.
- All activity that occurs under your account.
You must not impersonate any person or entity, or use an account that is not yours.
5. Eligibility and Prohibited Uses
The Services are intended for individuals who can form legally binding contracts. Where the Services are made available to individuals under the age of eighteen (18), access and use must be authorized by a parent or legal guardian and must comply with applicable law. Parents or legal guardians are responsible for reviewing and consenting to the collection, use, disclosure, and processing of personal data relating to the minor where such consent is required.
Healthcare providers, clinics, hospitals, and other organizations may facilitate access to the Services for minors only where appropriate legal authority, parental authorization, guardianship authorization, or another valid legal basis exists under applicable law and any applicable enterprise agreement.
Prohibited uses include, without limitation:
- Reverse-engineering, decompiling, or disassembling the Services or any component thereof.
- Attempting to circumvent or undermine the security, authentication, or access controls of the Services.
- Uploading malicious code, infringing content, or content that violates any applicable law.
- Using the Services for any unlawful purpose, including in violation of applicable healthcare, privacy, or data protection laws.
- Interfering with or disrupting the integrity or performance of the Services or any third-party data contained therein.
We may suspend or terminate your access if we reasonably believe you are misusing or abusing the Services.
6. Description of Services
Users should always seek the advice of a licensed physician or other qualified healthcare professional regarding any medical condition, treatment decision, diagnosis, medication, or healthcare concern. Never disregard professional medical advice or delay seeking medical attention because of information provided through the Services.
Unless expressly stated for a specific feature, product, jurisdiction, or regulatory authorization, GenetiQ is not a registered medical device and does not hold marketing authorization from the Emirates Drug Establishment (EDE), Dubai Health Authority (DHA), Department of Health – Abu Dhabi (DoH), the United States Food and Drug Administration (FDA), the European Medicines Agency (EMA), or any equivalent healthcare regulator.
Artificial Intelligence and Automated Outputs
Users acknowledge that certain features of the Services may generate content, analyses, reports, recommendations, summaries, insights, or other outputs using artificial-intelligence technologies. Unless expressly stated otherwise, such outputs may be generated wholly or partially by automated systems and should be reviewed by the user and, where appropriate, by qualified healthcare professionals.
Genomic Data
Genomic data is processed only if you choose to provide it. If you do, it is protected in accordance with the security measures described in these Terms and the Privacy Policy and is used solely for the purposes described by the Services and any applicable consent provided by you. Certain genomic- processing activities may be subject to additional legal, regulatory, ethical, healthcare, research, consent, verification, or disclosure requirements under applicable law. You may withdraw consent where required by law, subject to applicable legal, healthcare, research, audit, security, and record- retention requirements.
GenetiQ is a digital health platform that, with your consent, collects and processes your medical and personal data to provide AI-powered health insights and a patient-controlled health wallet. Key features include:
- Secure Health Wallet: You can store, manage, and selectively share health records with authorized clinicians or caregivers.
- AI Analytics: Our system analyzes your data to produce reports, trends, and supportive health insights.
- Provider Network: Healthcare providers participate in a connected network with strict access controls. Patient data is only shared in accordance with your consent settings.
- Research and Platform Improvement: Where permitted by applicable law and supported by an appropriate legal basis, GenetiQ may use anonymized, aggregated, pseudonymized, consented, or otherwise lawfully processed information for research, validation, quality assurance, security, healthcare innovation, platform improvement, and related purposes.
The exact features and availability of the Services may change. We may add, modify, or remove features at our discretion. We make no guarantee of continuous operation or fitness for any specific clinical purpose.
7. User Data and Privacy
You retain ownership and control of your data. Any data you upload is secured in accordance with our Privacy Policy and the security controls described in Section 8. We process your data according to the instructions and sharing preferences you configure in the Services.
We may produce anonymized, aggregated, or pseudonymized information from the Services for research, validation, quality assurance, security, healthcare innovation, platform improvement, or related purposes, as appropriate to the relevant processing activity and applicable legal requirements. Where information remains capable of being associated with an individual through additional information or controls, it will be treated as personal data and protected accordingly.
8. Consent and Data Processing
Where consent is required by applicable law, GenetiQ will obtain explicit consent through the relevant feature, workflow, disclosure, authorization process, or consent mechanism described in the Privacy Policy. Users may withdraw consent at any time through available account settings, consent- management tools, or other mechanisms provided by the Services, subject to applicable legal, regulatory, contractual, clinical, security, retention, or operational requirements.
Where GenetiQ acts as a data processor on your behalf or on behalf of a healthcare organization, we will process personal data only on documented instructions, with appropriate technical and organizational measures including encryption, access control, resilience, and audit logging, in accordance with applicable data protection law, including the UAE Personal Data Protection Law and, where applicable, Article 32 of the GDPR.
GenetiQ implements technical, organizational, administrative, contractual, and security measures designed to protect personal data, health data, genomic data, and other protected information in accordance with applicable law, including the UAE Personal Data Protection Law and, where applicable, Article 32 of the GDPR.
9. Intellectual Property and License
All intellectual property rights in the Services — including software, documentation, designs, AI models, and trademarks — are owned by Prepaire or its licensors. We grant you a non-exclusive, non- transferable, revocable license to use the Services for your personal or organizational purposes, strictly as permitted by these Terms.
You do not acquire any right to modify, distribute, sublicense, or create derivative works from the Services. Any health data or records you upload remain your data. We claim no ownership of user- uploaded health information. Insights and reports generated from your data by the Services are provided for your use and do not transfer our underlying intellectual property to you.
10. Third-Party Providers and Subprocessors
GenetiQ integrates with and relies on third-party service providers including cloud infrastructure providers and authentication services. By using GenetiQ, you acknowledge that authorized subprocessors may process data on our behalf, subject to confidentiality and security obligations equivalent to those in these Terms and our Privacy Policy.
Where applicable, GenetiQ may engage third-party providers to support the Services, including cloud- hosting providers, authentication providers, analytics and monitoring providers, laboratory partners, healthcare integrations, communication providers, payment providers, security providers, and other technology service providers. GenetiQ's artificial-intelligence and machine-learning models are operated in-house and are not provided by third-party AI vendors.
Additional information regarding material service providers may be made available through supplemental privacy notices, trust-center disclosures, security documentation, contractual documentation, feature-specific disclosures, consent mechanisms, or other transparency measures.
We maintain a list of major subprocessors and will provide it upon written request. We ensure that each authorized subprocessor is bound by appropriate contractual safeguards.
You are responsible for complying with any applicable third-party terms when you independently link a wearable device, external storage, or other ecosystem service to GenetiQ.
11. Fees and Payment
The Services are currently provided without charge. If subscription, transaction, or other fees are introduced in the future, the applicable pricing, billing terms, and refund policies will be published on a separate Pricing page or set out in an applicable Order Form before any fees are incurred.
12. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Services are provided "AS IS" and "AS AVAILABLE." We expressly disclaim all warranties, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement.
We do not guarantee the accuracy, completeness, or clinical usefulness of any health insights generated by the Services, and we are not responsible for any decisions or actions you take based on those outputs. We do not warrant that the Services will be error-free, continuously available, or free from security vulnerabilities.
Important: GenetiQ does not provide medical advice. You should consult a qualified and licensed healthcare professional before making any clinical or medical decision.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Prepaire and its affiliates, directors, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, loss of opportunity, loss of goodwill, loss of business, loss of anticipated savings, loss of data, or business interruption, arising from or relating to the Services, even if advised of the possibility of such damages.
Subject to the provisions below, the aggregate liability of Prepaire arising out of or relating to the Services, whether in contract, tort, negligence, statutory duty, or otherwise, shall not exceed the greater of:
- (a) the total fees paid by the user to Prepaire during the twelve (12) months preceding the event giving rise to the claim; or
- (b) USD 10,000 (ten thousand United States Dollars), approximately AED 36,725.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, violations of mandatory consumer-protection laws, healthcare-liability obligations, or any liability that cannot lawfully be excluded or limited under applicable law.
14. Indemnification
You agree to defend, indemnify, and hold harmless Prepaire and its affiliates, directors, officers, and partners from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or in connection with: (a) your violation of these Terms; (b) your misuse of the Services; (c) your infringement of any third-party intellectual property or privacy rights; or (d) your violation of any applicable law in connection with the Services.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your cost, and you agree to cooperate with our defense of such claims.
15. Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without prior notice, for any reason including breach of these Terms or suspected misuse. On termination, your license to use the Services ends immediately.
If you have paid for the Services, termination will not automatically entitle you to a refund unless required by applicable consumer protection law. Provisions relating to Privacy, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law will survive termination.
For purchases made through the Apple App Store, refunds are administered by Apple in accordance with Apple's policies, and you should contact Apple directly to request a refund.
16. B2B Data Processing Agreement (DPA)
If you are a healthcare provider, employer-sponsored health program, insurer, clinic, laboratory, research institution, employer, or other enterprise customer using GenetiQ to process personal data of patients, employees, customers, or other data subjects, the allocation of controller, processor, and joint- controller responsibilities depends on the manner in which the Services are used and is described in the Privacy Policy.
Where a joint-controller arrangement exists, the respective responsibilities of the parties will be defined by applicable agreements, privacy notices, enterprise documentation, or other legally required disclosures.
Where required by applicable data protection law — including the GDPR, UK GDPR, UAE PDPL, DIFC Data Protection Law, or ADGM Data Protection Regulations — we will enter into a separate Data Processing Agreement (DPA) with you. The DPA will address, at a minimum:
- Processing data only on your documented instructions.
- Confidentiality obligations for all personnel with access to personal data.
- Appropriate technical and organizational security measures.
- Sub-processor obligations and notification rights.
- Assistance with data-subject rights requests.
- Breach detection, notification, and cooperation obligations.
- Data return or deletion on contract termination.

17. Export Controls and Regulatory Compliance
The Services may involve cryptographic technology and cross-border data transfers. You agree to comply with all applicable export control laws and regulations, including those of the UAE and any other jurisdiction in which you operate. You may not use the Services in violation of any applicable sanctions, embargo, or export restriction.
18. Apple App Store Terms
If you access or use the GenetiQ Application through an Apple-branded device or download it from the Apple App Store, you acknowledge that these Terms are concluded between you and Prepaire, and not with Apple Inc.
The license granted under these Terms is limited, non-exclusive, non-transferable, and revocable, and permits use of the Application solely on Apple-branded devices that you own or control, subject to applicable Apple usage rules.
Prepaire is solely responsible for the Application, including its maintenance, support, functionality, content, warranties, and compliance with applicable laws. Apple has no obligation to provide maintenance, support, or warranty services for the Application.
Prepaire, and not Apple, is responsible for addressing any claims relating to the Application, including product liability claims, claims that the Application fails to comply with applicable legal or regulatory requirements, claims arising under consumer protection or similar legislation, and claims relating to intellectual property infringement.
You represent and warrant that you are not located in a country subject to applicable sanctions or embargoes, are not listed on any prohibited or restricted party list, and will comply with all applicable export control and sanctions laws.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce this Section against you.
Warranty. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you (where applicable). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Prepaire's sole responsibility.
Intellectual Property Claims. In the event of any third-party claim that the Application or your possession and use of the Application infringes that third party's intellectual property rights, Prepaire, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim, to the extent required by these Terms.
Product Liability. Prepaire, and not Apple, is solely responsible for any product-liability claims and any claims that the Application fails to conform to any applicable legal or regulatory requirement, including consumer-protection legislation.
Usage Rules. Your license to use the Application is conditioned upon your compliance with the Usage Rules set forth in the Apple Media Services Terms and Conditions, as updated from time to time by Apple.
19. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Unless you and we agree otherwise in writing, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
If you are a resident of a jurisdiction that restricts mandatory arbitration clauses or class-action waivers (including EEA member states), those restrictions will take precedence over any contrary provision in these Terms to the extent required by applicable law.
20. Changes to Terms and Notices
We may update these Terms from time to time. Significant changes will be highlighted and communicated to you by email or in-app notification prior to the change taking effect. Continued use of the Services after the effective date of updated Terms constitutes your acceptance of the revised Terms, subject to any consent requirements under applicable law.
Legal notices may be provided via email to your registered address or through the Service interface.
21. Miscellaneous
These Terms, together with the Privacy Policy and any applicable Order Form, DPA, or supplemental terms, constitute the entire agreement between you and Prepaire with respect to the Services, and supersede all prior agreements and understandings.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
Neither party may assign or transfer any rights or obligations under these Terms without the other party's prior written consent, except that Prepaire may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets.

22. Language Versions
This document is provided in English. In the event that translated versions are made available, the English version shall prevail in the event of any inconsistency, unless applicable law requires otherwise.
